Employer Terms of Business

Working draft, 2 September 2026. These are the terms for employers; job seekers are covered by our Terms of Service.

Draft for review. These terms are awaiting solicitor review and are not yet in force. The commercial terms below are the ones shown on the pricing page.

The model in one line. A salary-banded Search Fee per role (£450 or £650) for a 30-day search, refunded in full if you interview nobody we introduce. No hire fee, no introduction window, no non-circumvention. Advertising is an optional Promotion Budget at cost plus 5% handling, non-refundable.

1. Who we are and what this covers

1.1 These terms are between Alastair Grant, trading as Lemonade, of 2 Farndon Road, Oxford, OX2 6RS (“Lemonade”, “we”) and the organisation accepting these terms (“the Client”, “you”).

1.2 Lemonade operates as an employment agency, introducing candidates for direct employment by the Client, within the meaning of the Employment Agencies Act 1973 and the Conduct of Employment Agencies and Employment Businesses Regulations 2003 (“the Conduct Regulations”).

1.3 These terms are provided, and must be accepted, before any services are supplied. Acceptance happens electronically at account signup and again at each Search Fee payment.

2. Definitions

  • Listing - a vacancy submitted by the Client through the Lemonade platform.
  • Search Fee - the fee payable per Listing per Search Period, set by advertised salary band (clause 4.1).
  • Search Period - a period of 30 days beginning when a Listing goes live, during which Lemonade actively sources and screens candidates.
  • Candidate - an individual whose details Lemonade provides to the Client in any form.
  • Introduction / Introduced Candidate - the first time Lemonade makes a Candidate's identity and profile available to the Client. Every Introduction is recorded in Lemonade's Introduction Record, available to the Client on request.
  • Interview - any substantive discussion between the Client and an Introduced Candidate about the listed role, however conducted, whether arranged through the Lemonade platform or directly.
  • Promotion Budget - an optional amount the Client chooses to fund paid advertising of a Listing (clause 4.5).

3. The service

3.1 For each paid Listing, during each Search Period Lemonade will: (a) advertise and promote the role, including on third-party channels such as LinkedIn (clause 7); (b) search its candidate network and external sources; (c) screen and assess candidates against the role requirements; and (d) present a shortlist of assessed Candidates with supporting analysis.

3.2 Lemonade does not guarantee any number of Candidates, nor that any Candidate will accept an offer. The Client's remedy where the search produces nobody worth meeting is the refund guarantee in clause 5, not a promise of volume.

3.3 Candidate interview reports, scores and analyses are provided in summary form. Raw interview transcripts are not provided in the ordinary course and remain confidential between Lemonade and the Candidate. Where the Client reasonably requires a transcript to respond to a complaint or legal claim arising from a Candidate's application, Lemonade will provide the relevant transcript on written request.

3.4 The Client remains responsible for its own final assessment of Candidates, for verifying right to work in the UK, and for any offer and employment terms. Lemonade will take the reasonable steps required of an employment agency under the Conduct Regulations regarding candidate identity, experience and qualifications.

4. Fees

4.1 Search Fee. Payable in advance by card, per Listing per Search Period, set by the advertised salary band of the role: £450 where the advertised salary is up to £50,000; £650 where it is above £50,000. The band is determined from the top of the advertised salary range and is fixed at payment; later edits to the advertised salary do not change the fee for that Search Period. A salary range is required before a Listing can go live. The Listing goes live once payment is received and, for public display, approved by Lemonade.

4.2 No hire fee. There is no placement fee, no success fee, and nothing further to pay when the Client hires an Introduced Candidate - for the listed role or any other role, whenever the hire happens. There is accordingly no introduction ownership window, no non-circumvention restriction, and no obligation to notify Lemonade of a hire (though we ask, so we can measure our own success). The only fees under these terms are the Search Fee, renewals and the Promotion Budget.

4.3 Renewal. At the end of a Search Period, the Client may renew the Listing for a further 30-day Search Period for £250 (either band). Listings never renew automatically. Renewals are non-refundable and do not carry the clause 5 guarantee.

4.5 Promotion Budget. Optionally, the Client may fund paid promotion of a Listing. The Client chooses the amount; Lemonade charges the chosen amount plus a 5% handling fee, itemised separately. Lemonade commits that: (a) the full budget is spent on promotion at cost - Lemonade adds no margin to the media itself, and the 5% handling fee is Lemonade's only compensation; (b) a spend report is provided to the Client; (c) if the budget cannot reasonably be spent on the chosen channel within the Search Period, Lemonade may spend the remainder on other channels for the same Listing or carry it into a renewal of that Listing. The Promotion Budget and handling fee are non-refundable in all circumstances, including where the Search Fee is refunded under clause 5. Top-ups may be added at any time during a Search Period on the same terms.

4.6 VAT. All fees are exclusive of VAT. No VAT is charged while Lemonade is not VAT-registered; from the date Lemonade becomes VAT-registered, VAT will be added at the prevailing rate.

5. The refund guarantee

5.1 If, during a Listing's first Search Period, the Client does not Interview any Introduced Candidate, Lemonade will refund that Listing's Search Fee in full on request.

5.2 The guarantee applies to a Listing's first Search Period paid at the full clause 4.1 rate only. It does not apply to renewals (clause 4.3), and a Search Fee is refunded at most once. The Promotion Budget and handling fee are never refunded (clause 4.5).

5.3 Claiming. The Client claims through the platform within 14 days of the end of the Search Period, confirming that no Interview of an Introduced Candidate took place. The claim is by self-certification - no evidence or justification is required. Refunds are made to the original payment method, with a target of five working days.

5.4 An Interview arranged through the Lemonade platform's scheduling feature is recorded as an Interview once it has taken place. A booking that the Candidate does not attend is not an Interview and does not affect the guarantee. The absence of a platform booking does not, by itself, establish that no Interview took place.

5.5 The refund is the Client's sole remedy in respect of the outcome of a search.

5.6 A Candidate who was already in the Client's own recruitment process for the listed role before the Introduction is not treated as an Introduced Candidate for the purposes of this clause 5. The Client should tell Lemonade at the time of the Introduction.

6. No exclusivity

6.1 Lemonade is not the Client's exclusive agent. The Client may use other agencies, job boards or its own channels at any time. Since no fee attaches to hiring, no question of competing entitlement arises.

7. Advertising authority

7.1 The Client authorises Lemonade to advertise the Listing and promote the role on the Client's behalf, in the Client's name, on the Lemonade platform and third-party channels (including LinkedIn and other job boards), using the Client's name, logo, brand assets and role details supplied.

7.2 Lemonade may decline or remove any Listing that is unlawful, discriminatory, misleading, or reputationally harmful. Listings appear publicly only after Lemonade approval. Where Lemonade declines a Listing, the Search Fee for that Listing is refunded in full.

7.3 The Client warrants that the vacancy is genuine, that role details (including the advertised salary range) are accurate, and that the role and its advertising comply with the Equality Act 2010.

8. Candidate data and confidentiality

8.1 Candidate profiles, CVs, reports and analyses are confidential and provided solely for assessing the Candidate for the Client's vacancy. The Client must not use them for any other purpose, share them outside its hiring team, or retain them after a rejection decision beyond its lawful retention needs.

8.2 Each party is an independent data controller of the personal data it processes. Each will comply with UK GDPR. Lemonade only Introduces Candidates who have consented to their profile being shared with employers.

8.3 Feedback the Client provides about Candidates may be used by Lemonade to improve matching and, in summarised or reworded form, to give the Candidate constructive feedback. The Client's verbatim comments are not forwarded.

8.4 Lemonade interview transcripts are not shared with the Client except as set out in clause 3.3.

9. Liability

9.1 Nothing excludes liability for fraud or for death or personal injury caused by negligence.

9.2 Lemonade is not liable for any loss arising from the acts or omissions of a Candidate, or from the Client's decision to hire or not hire. Aggregate liability per Listing is capped at the fees paid for that Listing. No liability for indirect or consequential loss.

10. General

10.1 Either party may close a Listing at any time; closing a Listing early does not create a refund right beyond clause 5. Lemonade may suspend accounts for breach.

10.2 These terms are the entire agreement. Variation only in writing; updated terms apply to new Listings.

10.3 Governing law and jurisdiction: England and Wales.
